Please read these Terms of Use ("Terms") carefully before using the Spndle mobile application ("App") operated by Spndle ("we," "us," or "our"). By downloading or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. License to Use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on an iPhone you own or control, solely for your personal business record-keeping purposes.
You may not:
- Copy, modify, or create derivative works of the App
- Reverse engineer, decompile, or disassemble the App
- Rent, lease, sell, or sublicense the App to any third party
- Remove any proprietary notices or labels on the App
- Use the App for any unlawful purpose
2. Subscriptions and Payments
Spndle may be offered with a free trial period followed by a paid subscription. All payments are processed by Apple through the App Store. By subscribing, you agree to Apple's payment terms.
- Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
- You can manage and cancel your subscription in your Apple ID account settings.
- No refunds are provided for partial subscription periods, except as required by applicable law or Apple's refund policies.
3. Your Data and Responsibility for It
All data you enter into Spndle — expense records, mileage logs, business information — is stored locally on your device. You are solely responsible for:
- The accuracy of information you enter into the App
- Maintaining backups of your data
- Compliance with all applicable tax laws and regulations
Spndle is a record-keeping tool, not tax advice software. Nothing in the App constitutes legal, tax, or financial advice. You should consult a qualified tax professional regarding your specific situation.
4. Third-Party Services
Anthropic / Claude AI (Optional)
If you enable AI receipt scanning, you are using Anthropic's API under your own account and subject to Anthropic's Terms of Service. Spndle is not responsible for the availability, accuracy, or output of Anthropic's services.
Apple
The App is distributed through the Apple App Store and is subject to Apple's Media Services Terms and Conditions. Apple is not a party to these Terms and has no obligation to provide any support or maintenance for the App.
5. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The App will be uninterrupted, error-free, or free of viruses or other harmful components
- The results obtained from using the App will be accurate or reliable
- Any errors in the App will be corrected
Receipt scanning (both on-device OCR and AI-assisted) may not be 100% accurate. Always verify scanned data before saving.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPNDLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR FINANCIAL LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
7. Indemnification
You agree to indemnify, defend, and hold harmless Spndle and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the App or your violation of these Terms.
8. Termination
We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Upon termination, your license to use the App immediately ends. Because all data is stored locally on your device, termination does not delete your data.
9. Governing Law
These Terms are governed by the laws of the United States and the state in which Spndle is operated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.
